INVESTMENT CRITERIA

TCR is actively seeking acquisition opportunities which generally fit the following situations:

Transaction Types:

  • UNEXPLOITED GROWTH – situations that can benefit from the infusion of substantial equity capital which funds aggressive growth involving both internal expansion and acquisitions.

  • UNDER-PERFORMING COMPANIES – situations that require substantial change due to poor operating performance, excess leverage or failed strategies.

  • COMPLICATED TRANSACTIONS – situations involving one or more of the following: strategic issues, legal complications,  capital problems, operating issues, shareholder/debtholder issues.

  • OPERATING MANAGEMENT:
    -TCR is willing to consider transactions in which management succession is unclear and in situations which  lack operating management.

    -TCR works very closely with management to develop the strategic and growth plans.

Transaction Size:

  • TCR targets situations involving transaction values up to $200 million.

  • TCR is willing to be an "all-cash buyer" in transactions valued up to $100 million.

  • TCR will consider companies which have the potential of generating at least $15 million of operating income.

Investment Parameters:

  • TCR looks to invest a minimum of $20 million in each situation.

  • TCR’s investment must result in a controlling interest in the acquired company.

Target Industries:

TCR seeks investments in established businesses operating in basic industries with a long-term defensible position. Business should have an established revenue base and solid relationships with customers. Investments are made in the following industry sectors:

¨ Industrial

¨ Services

¨Retail

TCR does not invest in high technology, natural resources, or regulated industries.
